Tech Startup Acquisition – De-risking the Sale

We represented the founders of a data analytics firm during their acquisition by a major technology conglomerate. Our role began with organizing the internal corporate records and ensuring all contractual obligations were clean. We managed the due diligence process and led the negotiation of the warranties and indemnities in the Share Purchase Agreement (SPA). By proactively addressing potential liabilities (including outstanding tax matters and IP chain of title), we reduced post-closing risk for the founders and secured a clean, efficient exit at the maximum valuation.

Cross-Border Joint Venture in Manufacturing

An Indian manufacturing client sought to establish a joint venture with a German technology provider to introduce new products to the Asian market. We structured the entire JV framework, including establishing the new legal entity, drafting the detailed joint venture agreement (JVA) that defined each party's capital contributions and profit-sharing mechanism, and, crucially, drafting the technology transfer agreement that governed the licensing and ownership of all foreground and background IP created within the venture.
